1Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the website, platform, and professional services (together, the "Services") provided by NavviPal Inc. ("NavviPal", "we", "us"). By creating an account, accessing the platform, or engaging our services, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
2The Services
NavviPal provides a software platform together with corporate professional services, including company formation, registered address, local director, company secretary and annual filings, and accounting and tax support, across Brazil, Mexico, Colombia, Chile, Peru, Argentina, Costa Rica, Panama, and Ecuador.
Service timelines, fees, and deliverables depend on the jurisdiction, the completeness and accuracy of information you provide, and the processing times of government registries and authorities, which are outside our control. Any timeframes we publish are good-faith estimates, not guarantees.
3No legal, tax, or financial advice
4Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Access is governed by the role and permission settings assigned within your organisation. You must notify us promptly of any unauthorised use.
5Your obligations
- Provide accurate, complete, and up-to-date information, including for KYC and anti-money-laundering checks
- Ensure you have the right to share any third-party information you provide to us
- Use the Services only for lawful purposes and in compliance with applicable laws
- Not misuse, reverse-engineer, or attempt to gain unauthorised access to the platform
- Respond promptly to requests for information needed to deliver the Services
6Fees and payment
Fees, billing cycles, and the billing party are as set out in your order, subscription, or service agreement. Government fees, taxes, and third-party costs may apply in addition. Refund and cancellation terms are described in our Billing & Refund Terms. Unless required by law, fees already incurred for work performed are non-refundable.
7Third parties and local partners
Delivering services in each jurisdiction may require local lawyers, accountants, registered agents, and nominee directors. While we coordinate these partners, certain services are provided by them directly and may be subject to their own terms. We are not liable for the independent acts or omissions of third parties beyond our reasonable control.
8Intellectual property
The platform, website, and all associated content, software, and trademarks are owned by NavviPal or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of the data and content you submit.
9Disclaimers
Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
10Limitation of liability
To the maximum extent permitted by law, NavviPal will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total aggregate liability arising from the Services will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
11Indemnification
You agree to indemnify and hold NavviPal harmless from claims, losses, and expenses arising from your breach of these Terms, your misuse of the Services, or inaccurate information you provide.
12Term and termination
These Terms apply for as long as you use the Services. Either party may terminate in accordance with the applicable service agreement. We may suspend or terminate access for breach, non-payment, or legal or regulatory reasons. Provisions that by their nature should survive termination will continue to apply.
13Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Delaware, United States, unless mandatory local consumer law provides otherwise.
14Changes to these terms
We may update these Terms from time to time. We will post the revised version with an updated date and, where changes are material, notify you. Continued use after changes take effect constitutes acceptance.
